1. Introduction

These Terms & Conditions ("Terms") govern the sale and supply of products and services by HVAC WALE PRIVATE LIMITED ("HVAC Wale", "Company", "we", "our", or "us") through our website https://www.hvacwale.com, sales representatives, authorized distributors, and other approved sales channels.

By placing an order, requesting a quotation, or purchasing products or services from HVAC Wale, you agree to be bound by these Terms.

2. Definitions

For the purposes of these Terms:

Customer means any individual, business, dealer, distributor, contractor, institution, or organization purchasing products or services from HVAC Wale.
Products means HVAC equipment, spare parts, accessories, consumables, and related goods supplied by HVAC Wale.
Services means installation, commissioning, maintenance, inspection, consulting, technical support, training, or any other services provided by HVAC Wale.
Order means a confirmed purchase order accepted by HVAC Wale.

3. Quotations

All quotations issued by HVAC Wale:

Are non-binding unless expressly stated otherwise.
Are valid only for the period specified in the quotation.
Are subject to product availability.
May be revised or withdrawn before order acceptance.
Do not constitute a binding contract until accepted by HVAC Wale.

4. Orders and Acceptance

Orders are subject to review and acceptance by HVAC Wale.

We reserve the right to refuse or cancel any order due to:

Product unavailability.
Pricing errors.
Suspected fraud.
Regulatory restrictions.
Incomplete customer information.
Failure to comply with these Terms.

A contract is formed only when HVAC Wale confirms acceptance of the Order.

5. Pricing

Unless otherwise stated:

Prices are quoted in the applicable currency.
Taxes, duties, freight, insurance, installation, and other applicable charges may be additional.
Prices may change without prior notice before order acceptance.
Pricing errors may be corrected before dispatch.

6. Payment Terms

Payment terms shall be as specified in the quotation, invoice, purchase order, or separate written agreement.

HVAC Wale reserves the right to:

Require advance payment.
Suspend deliveries for overdue accounts.
Charge interest on overdue payments where permitted by law.
Recover reasonable collection costs associated with unpaid invoices.

Ownership of products may remain with HVAC Wale until full payment has been received.

7. Delivery

Delivery timelines are estimates only.

HVAC Wale shall make reasonable efforts to dispatch products within the estimated timeframe but shall not be liable for delays caused by circumstances beyond its reasonable control.

Delivery is governed by our Shipping Policy.

8. Inspection and Acceptance

Customers should inspect products immediately upon delivery.

Any shortages, transit damage, or incorrect deliveries should be reported within 48 hours of receipt.

Failure to notify HVAC Wale within this period may be deemed acceptance of the delivery, subject to applicable consumer protection laws.

9. Returns and Refunds

Returns, replacements, and refunds are governed by the Company's Return & Refund Policy.

Products returned without prior authorization may not be accepted.

10. Warranty

Warranty coverage is governed by the Company's Warranty Policy and, where applicable, the manufacturer's warranty.

Warranty claims are subject to inspection and compliance with the applicable warranty terms.

11. Installation and Commissioning

Unless expressly agreed in writing:

Installation is not included with product supply.
Commissioning services are separate.
Customers are responsible for ensuring that installation is carried out by qualified personnel in accordance with applicable standards and manufacturer instructions.

Improper installation may void applicable warranties.

12. Customer Responsibilities

The Customer agrees to:

Provide accurate information.
Make timely payments.
Ensure a safe and suitable installation environment.
Comply with applicable laws and regulations.
Use products only for their intended purpose.
Follow operating and maintenance instructions.

13. Intellectual Property

All trademarks, logos, product catalogues, drawings, technical documents, photographs, software, and other materials provided by HVAC Wale remain the intellectual property of HVAC WALE PRIVATE LIMITED or the respective rights holder.

No rights are transferred except as expressly agreed in writing.

14. Limitation of Liability

To the maximum extent permitted by applicable law, HVAC WALE PRIVATE LIMITED shall not be liable for:

Indirect or consequential losses.
Loss of profits.
Loss of business opportunities.
Business interruption.
Loss of production.
Loss of goodwill.
Loss of data.

HVAC Wale's total liability arising from any claim shall not exceed the amount paid by the Customer for the relevant product or service giving rise to the claim, except where such limitation is prohibited by applicable law.

15. Force Majeure

HVAC Wale shall not be liable for any delay or failure to perform its obligations due to events beyond its reasonable control, including:

Natural disasters
Fire
Flood
Pandemic
War
Civil unrest
Government actions
Labour disputes
Transportation disruptions
Supply chain shortages
Cybersecurity incidents
Utility failures

16. Export Compliance

Customers purchasing products for export are responsible for complying with all applicable export, import, customs, sanctions, and trade regulations of the relevant jurisdictions.

HVAC Wale reserves the right to refuse transactions that may violate applicable laws.

17. Privacy

Personal information collected in connection with orders and services will be processed in accordance with the Company's Privacy Policy.

Customers are encouraged to review the Privacy Policy available on our website.

18. Termination

HVAC Wale may suspend or terminate any order or business relationship where:

Payment obligations are not fulfilled.
Fraud or unlawful activity is suspected.
The Customer materially breaches these Terms.
Continued performance becomes unlawful.

Termination shall not affect accrued rights and obligations.

19. Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of India.

Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts having jurisdiction over the location of the registered office of HVAC WALE PRIVATE LIMITED, unless otherwise required by applicable law.

20. Changes to These Terms

HVAC Wale may update these Terms & Conditions from time to time.

The latest version will be published on our website and will become effective upon publication.
